Using zeluxa.com means you accept the terms on this page. They form an agreement between you and Zeluxa Corp.
Disagree with any of it and the remedy is simple: stop using the site.
You need legal capacity to accept these terms. Accept them for a company and you are confirming you have authority to bind that company.
What this site is
Zeluxa advises businesses on cross-border expansion across North America, Europe, and the Middle East. This site describes that work and gives you a way to reach us.
The site does not sell anything. Nothing here forms an offer you can accept, and no contract for services comes into being through this website. Engagements start with a signed agreement.
No advice, and no client relationship
Everything on this site is general information about our practice. None of it is legal, financial, tax, accounting, or regulatory advice, and none of it is advice about your particular situation.
Reading this site does not make you our client. Sending the contact form does not make you our client either. We become your advisers when both sides sign an engagement agreement, and not a moment before.
Cross-border expansion touches tax law, employment law, customs, and market regulation in every jurisdiction it reaches. Get advice from qualified professionals in each country before you commit. Do not act on anything you read here alone.
Using the site
Browse it, read it, share it, quote it with attribution. What you may not do:
- Break any law that applies to you while using the site.
- Attempt to reach parts of the site or server that we have not made public.
- Disrupt the site, overload it, or interfere with anyone else's use of it.
- Scrape it at a volume that burdens our host, or harvest contact details from it for bulk messaging.
- Copy our text, images, or design and present them as your own.
- Upload anything malicious through the contact form.
We may block access from any address that does these things, and we do not owe notice first.
Sending us an enquiry
Give us accurate details when you write. We rely on them to respond usefully.
Send only what you are comfortable sending. Until we sign an engagement agreement, we owe you no duty of confidence over what arrives in an unsolicited message, so keep trade secrets and privileged material out of that field. Our Privacy Policy explains what happens to what you do send.
Receiving your enquiry commits us to nothing. We may decline to respond, and we may decline the work.
What belongs to us
Zeluxa Corp owns the text, layout, graphics, and code on this site, or licenses them. Canadian and international copyright law protects all of it. The Zeluxa name and logo are our trade marks.
Quote short passages with credit and a link back. Anything more, including republishing, adapting, or using our material commercially, needs our written permission first. Write to info@zeluxa.com.
Third-party marks that appear on this site, including the marketplace logos, belong to their owners. We show them to describe where we work, and their appearance implies no endorsement of Zeluxa by anyone.
Links to other sites
This site links out to Survantis, to LinkedIn, and to regulators. Those sites run under their own terms and their own privacy policies, and we control none of them.
Follow an external link and you leave our responsibility behind. Read the terms of wherever you land.
Accuracy
We keep this site current and we check what we publish. Even so, market conditions shift, regulations change, and errors survive proofreading.
We provide the site as it stands, without warranty of any kind, express or implied. That includes any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the content is complete, current, or free of error.
Some provinces limit how far a business may exclude implied warranties. Where your province does that, the exclusions above apply to you only as far as that province allows.
Availability
We aim to keep the site reachable, and we make no promise about uptime. Maintenance, host failures, and network problems all take sites offline. We may also change or withdraw any part of the site at any time, without notice.
Limits on our liability
To the fullest extent Canadian law allows, Zeluxa Corp and its directors, officers, employees, and contractors are not liable for:
- Any indirect, incidental, special, consequential, or punitive loss.
- Lost profit, lost revenue, lost data, or lost business opportunity.
- Any decision you take based on something you read here.
- Any interruption to the site, or any malicious code that reaches you through it.
- Anything that happens on a site we link to.
This applies however the claim is framed, in contract, in tort, under statute, or otherwise, and it applies even if we knew such loss was possible.
Where law refuses to let us exclude liability altogether, our total liability for any claim arising from this site is capped at one hundred Canadian dollars.
Nothing here limits our liability for fraud, for fraudulent misrepresentation, or for anything else the law forbids us to limit.
Covering our costs
Breach these terms, break a law while using the site, or infringe someone's rights through it, and you agree to cover the reasonable costs we incur as a result, legal fees included.
Governing law
The laws of the Province of Ontario govern these terms, together with the federal laws of Canada that apply in Ontario.
Disputes go to the courts of Ontario, and you agree those courts have jurisdiction. If you deal with us as a consumer, this clause does not strip you of protections your home province gives you.
Should a court strike out part of these terms, the rest keeps working.
Changes to these terms
We may revise these terms. The revised version takes effect the moment we publish it here, and the date at the top tells you when that was.
Continuing to use the site after a change means you accept the new version. Check back from time to time.
